Terms of service.

These Terms govern your access to and use of the Augur.ai platform (the “Service”), operated by Augur AI, Inc. (“Augur,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

1. What the Service does

Augur is a federal procurement intelligence platform. We aggregate publicly available data from SAM.gov and other government procurement sources, score it against your declared interests, and present it to your team in a shared workspace. We do not submit bids on your behalf, do not warrant the accuracy of any government-published data we relay, and do not constitute legal, financial, or contracting advice.

2. Accounts and authority

You may use the Service only if you are at least 18 years old and have the authority to bind the organization on whose behalf you’re registering. Account credentials are personal and non-transferable. Sharing an account violates these Terms and may, on its own, terminate your access.

Administrators on your team may create, disable, or delete accounts at their discretion. We are not responsible for administrative decisions made within your organization’s deployment of the Service.

3. Acceptable use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party right.
  • Reverse-engineer, decompile, or attempt to extract source code from the platform, except to the extent applicable law expressly permits despite this restriction.
  • Probe, scan, or test the vulnerability of the Service or any related system without our prior written consent. Coordinated security research is welcomed under our responsible-disclosure policy (see Security).
  • Use automated means (scrapers, bots, headless browsers) to access the Service outside of the documented API surface.
  • Misrepresent your identity, your organization’s identity, or your authority to bind any party.
  • Upload content that is unlawful, infringing, defamatory, or classified above the level for which the Service is authorized.

4. Data you upload

You retain ownership of all content you upload to the Service (your watchlist entries, search preferences, and proposal artifacts). You grant Augur a limited, non-exclusive license to host, process, and display that content solely as necessary to operate the Service for you. We do not use your content to train models for third parties. See the Privacy Policy for full details on what we collect and how we handle it.

5. Public-source data

Solicitations, agency listings, and award data displayed in the Service originate from public government sources (SAM.gov, GSA eBuy, and others) and are not warranted by Augur. The authoritative source for any solicitation remains the issuing agency. You are responsible for verifying details against the source before bidding.

6. Subscriptions, fees, and trials

Pilot deployments are scoped in a separate written agreement; if you’re in a pilot, that agreement governs commercial terms and these Terms cover everything else. For paid subscriptions, fees are billed in advance on the cadence agreed at signup, are non-refundable except as required by applicable law, and continue to renew until cancelled. Either party may cancel at the end of the then-current term on at least thirty (30) days’ written notice.

7. Confidentiality

Each party will protect the other’s Confidential Information using at least the same degree of care it uses to protect its own Confidential Information of like sensitivity, and in no event less than reasonable care. “Confidential Information” means non-public information disclosed by one party to the other in connection with the Service, marked or reasonably understood to be confidential.

8. Intellectual property

Augur, the Augur mark, the Read the signs phrase, and all platform software, designs, and content (other than your content) are the exclusive property of Augur. No license is granted by implication or estoppel. Feedback you provide is non-confidential and may be used by Augur without restriction or compensation.

9. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT WHERE PROHIBITED BY LAW, AUGUR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM ALL POSSIBLE ATTACK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUGUR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. AUGUR’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO AUGUR FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.

11. Indemnification

You will indemnify and hold Augur harmless from any third-party claim arising from (a) your content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party right.

12. Termination

We may suspend or terminate your access at any time if you breach these Terms or if continued access creates a security, legal, or compliance risk. On termination, your right to use the Service ends. Sections that by their nature should survive (Confidentiality, Intellectual property, Warranties and disclaimers, Limitation of liability, Indemnification, and Governing law) survive termination.

13. Government-customer terms

If you are a U.S. federal agency or a contractor procuring on behalf of one, this Service constitutes commercial computer software under FAR 12.212 / DFARS 227.7202. Use, duplication, and disclosure are subject to these Terms. Government end-users acquire only those rights in the Service that are customarily provided to the public.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to that jurisdiction and venue.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via the Service or by email at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
